Terms and conditions

1. DEFINTIIONS

“Artist” means any individual aspiring or already established 2D visual fine artist (working in digital media, fine art print or painting, drawings, mixed media, or collage) who meets the Eligibility requirements set out in these terms and conditions and makes a Submission to the Competition during the Entry Period.

“Artwork” means an original 2D artwork (whether digital media, fine art print or painting, drawings, mixed media, or collage but excluding sculptures and/or so-called “video art” which will not be accepted) created solely by the Artist.

“Competition” means this competition “Reimagine Image Nation’s Films Through Your Art” run by the Competition Sponsor.

“Competition Sponsor” means Image Nation Abu Dhabi of Yas Creative Hub, Podium 2 – Yas Island, Abu Dhabi, UAE..

“Entry Period” means the period during which Submissions will be accepted by the Competition Sponsor, commencing on 18th April 2025 and ending on 15th June 2025 (inclusive), or such other dates as Competition Sponsor may select in its sole discretion.

“Finalist” means individually and together up to ten (10) finalists of the Competition as selected by Competition Sponsor in its sole discretion and election, it being acknowledged that the Competition Sponsor reserves the right to select less than ten (10) Finalists or none if in its sole opinion there is no, or not enough, Submissions of sufficient merit or quality.

“Panel” means the panel of judges appointed by Competition Sponsor in its sole discretion in order to review the Finalists’ Submissions and select in their absolute discretion, alongside the Public Poll, the Winner.

“Public Poll” means the poll on the selected Finalists to be undertaken via the Competition Sponsor’s Instagram social media channel in accordance with these Terms and Conditions.

“Prize” means a commission from the Artist by the Competition Sponsor for a fee of 30,000AED to be awarded to the Winner, in accordance with Competition Sponsor’s standard terms and conditions for commissioning original commissions.

“Submission” means the Artist’s Artwork submitted to the Competition in accordance with these Terms and Conditions of entry.

“Winner” means the winner of the Competition as selected by Panel and the Public Poll, it being acknowledged that Competition Sponsor reserves the right to not select a Winner if in its sole opinion there is no, or not enough, Submission(s) of sufficient merit or quality.

2. ELIGIBILITY

1. Open only to Artists who are either citizens of the UAE or are residing in the UAE with a valid current visa. We may verify your eligibility, including requiring you to provide photographic evidence of compliance, and will disqualify you if we discover you are ineligible.
2. Artist must be 18 years of age or older and the competition is open to male and female entrants.
3. Each Arist can only make one Submission to the Competition. Multiple entries will result in disqualification.
4. Submissions will only be accepted if submitted via https://www.imagenationabudhabi.com/. Any Submissions sent through alternative methods will not be considered.  Any form of Submission that does not comply with these Terms and Conditions is void and will be disqualified.

3. ORIGINALITY

1. All Submissions (and Artworks) must be 100% original and created solely by the Artist and free of encumbrances or any other restrictions. Artist represents and warrants that there is no contract between them and any third party (including but not limited to any commercial, sponsorship or other agreement) or any legal or regulatory provision or professional obligation in respect of the Submission and/or Artwork and/or which prevents the Artist from accepting these Terms and Conditions and/or from participating in any phase of the Competition.
2. The Competition Sponsor reserves the right, in its sole and absolute discretion, to forego consideration of any Submission which infringes or which the Competition Sponsor considers may infringe any third-party intellectual property rights, or if the Competition Sponsor receives any complaint from a third party relating to such Submission and/or if in Competition Sponsor’s sole opinion the Submission may contain any material which is obscene, pornographic, discriminatory (based on race, sex, religion, national origin, physical disability, sexual orientation or age), illegal (for example, underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, harassing or if it might violate any censorship laws and/or any other law of the United Arab Emirates.
3. Use of AI (Artificial Intelligence) in any part of the creation process is strictly prohibited and if any Submission is found to contain any AI elements it will be immediately disqualified without notice.
4. If shortlisted as a Finalist, artists must submit layered working files or equivalent proof of manual creation (e.g. hand drawn sketches, early draft computer files, work in progress photographs etc.) to prove that the Submission (and Artwork) has been created by the Artist and not by any element of Artificial Intelligence (AI).

4. USAGE RIGHTS

1. By submitting, Artist grants the Competition Sponsor the worldwide irrevocable and non-exclusive right and license (the “License”) to use the Artist’s Artwork (with credit) across its platforms, social media channels and third-party platforms and channels to promote the Competition during the Entry Period and until completion of the Competition and selection of the Winner. Any inadvertent failure by Competition Sponsor or any third party to credit Artist in accordance with the foregoing shall not constitute a breach of these Terms and Conditions by Competition Sponsor, provided Competition Sponsor, once notified, shall rectify such failure provided rectification is within Competition Sponsor’s control and can be undertaken without incurring any expense for Competition Sponsor.
2. Subject to the License set out above, Image Nation will not sell or commercially exploit non-winning artworks without the Artist’s further consent.
3. Artist retains full copyright ownership and all rights to commercially use/promote their submitted Artwork subject only to the License granted to Competition Sponsor set out above.
4. Artist shall execute and deliver such additional documents or instruments as are reasonably necessary to evidence or effectuate the terms of these Terms and Conditions and/or in respect of the License set out above.

5. SELECTION PROCESS

1. Finalist selection will be based on creativity, originality, relevance to the brief, and artistic execution and will be chosen by the Competition Sponsor at its sole discretion and election
2. The Winner will be chosen through a 50% jury (via the Panel) and 50% public voting mechanism on Competition Sponsor’s official Instagram social media channel (the Public Poll).
3. Finalists will be notified by email after closing of the Entry Period.
4. The decision of the Competition Sponsor as to who the ultimate Winner is will be final and binding.

6. WINNER ENGAGEMENT

1. The winning artist will receive a one off paid commission (“Winner’s Commission”) worth AED 30,000 (“Commission Fee”)for a creative gig with Image Nation. Such commission will be in accordance with Competition Sponsor’s standard terms of commission.
2. Project details and the brief for the commission will be defined following the Winner announcement. For the avoidance of doubt the choice and contents of any such brief shall be decided by Image Nation in its sole discretion and election.  As a condition to winning the Competition, the Winner will then enter into a separate standalone commissioning agreement with Image Nation in respect of the Winner’s Commission on Image Nation’s standard terms of commission, including without limitation such terms relating to payment of the Commission Fee, delivery schedule/timeframes for delivering the Winner’s Commission, copyright ownership in the Winner’s Commission (which will vest solely in Image Nation) and such other standard terms of commission typically contracted between a commissioning entity and a creative artist.

7. WARRANTIES

By making a Submission, Artist represents and warrants to Image Nation that:

1. they have full authority to submit the Submission and that such Submission is wholly original to the Artist and does not infringe any copyright, trademark or any other intellectual, proprietary or other right whatsoever, including, but not limited to, rights of privacy or publicity of any person, firm or corporation.
2. the Submission does not contain any matter that is:
   • defamatory, libellous, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, abusive, inflammatory, fraudulent, racist or otherwise objectionable; or
   • contrary to the social and cultural norms of the United Arab Emirates or the laws of the United Arab Emirates, including (but not limited to): (i) abusing an Islamic holy shrine or ritual, including (without limitation) where such shrine or ritual is protected under the Islamic Sharia (religious) law; (ii) defaming any of the divine religions; or (iii) an act or theme which is blasphemous and/or defamatory to Arabs or any Muslims as an individual or a group or to any Arab or Muslim head of state, royal family and/or national symbol (for example the flag).
3. the Submission does not include or contain:
   • content that involves unsolicited promotions, political campaigning, advertising or solicitations, including content that involves the transmission of junk mail, chain letters or unsolicited mass mailing, instant messaging, spinning or spamming or provides links to other websites or web pages;
   • personal and private information of any third party, including, without limitation, addresses, ID, phone numbers, email addresses, social security numbers and credit card numbers; or
   • content that includes viruses, corrupted data or other harmful, disruptive or destructive files.
4. Artist shall indemnify and hold Competition Sponsor harmless from and against all damages and liabilities suffered or incurred in connection with, resulting from or arising out of a breach by the Artist of these Terms and Conditions.

8. GENERAL TERMS & CONDITIONS

1. Artist acknowledges and agrees that their participation in the Competition may bring them into close contact with confidential information of the Competition Sponsor and/or in relation to the Competition. The Artist will not use nor discuss nor disclose to any party any information or trade secrets obtained as a result of applying to be a participant in the Competition, or in the event that they are selected as Finalists or as the Winner of the Competition, including without limitation any information concerning or relating to the Competition, the Competition Sponsor, the Panel, any other entrants to the Competition, or generally in relation to the Competition.  This duty of confidentiality shall not be limited by time or place.
2. Competition Sponsor reserves the right to amend these Terms and Conditions from time to time in its sole discretion and without notification to Artist and/or Finalists/Winner.
3. This Agreement is personal to the Artist. Competition Sponsor shall have the sole right in their discretion to assign this Agreement in whole or in part to any third party.

1. Competition Sponsor reserves the right to contact Artist for additional information, if required.
2. Except where prohibited by law, participation in the Competition constitutes consent to Competition Sponsor and their agents to use the Artist’s, Finalists’ and Winner’s name(s), likeness(es), photograph(s), and/or personal information for promotional purposes in any media, worldwide, without further payment or consideration.
3. The personal information that Artist shares with Competition Sponsor is subject to Competition Sponsor’s Privacy & Data Protection Policy a copy of which can be located https://www.imagenationabudhabi.com/privacy-policy/.
4. Competition Sponsor shall not be liable for any failure to comply with its obligations hereunder where the failure is caused by something outside its reasonable control. Such circumstances shall include, but not be limited to, technical, mechanical and electronic malfunctions, weather conditions, fire, flood, hurricane, strike, industrial dispute, war, hostilities, political unrest, riots, civil commotion, inevitable accidents, supervening legislation or any other circumstances amounting to so-called “force majeure”.
5. The Artist hereby confirms that it shall participate in the Competition at his/her own risk and Competition Sponsor shall not be liable for: (a) loss of business, use, profit, anticipated profit, contracts, revenues, goodwill or anticipated savings; (b) damage to the client’s reputation; and/or (c) consequential, special or indirect loss or damage. Competition Sponsor shall not be under any obligation to exploit the Winner’s Artwork whatsoever in any media.
6. The relationship between the Artist and Competition Sponsor is one of independent contractors. Neither party will represent that it has any authority to assume or create any obligation, express or implied, on behalf of the other party, or to represent the other party as agent, employee, or in any other capacity, except as specifically provided herein.  The Winner shall solely be responsible for their own tax or other state insurance payments which may be payable in connection with receiving the Prize.
7. These Terms and Conditions shall be governed by the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates. The courts of the Emirate of Abu Dhabi shall have the sole jurisdiction in relation to any dispute arising out of or in connection with these Terms and Conditions (including disputes relating to the existence or validity of these Terms and Conditions or any obligation arising out of or in connection with these Terms and Conditions).
8. If any provision of these Terms and Conditions is adjudged by a court to be void or unenforceable, such provision shall in no way affect the validity or effectiveness of any other provisions of these Terms and Conditions, the application of the provision in any other circumstances or the validity or enforceability of these Terms and Conditions and such provision shall be curtailed and limited only to the extent necessary to bring it within legal requirement.
9. Competition Sponsor reserves the right at any time to modify or discontinue, temporarily or permanently, this Competition (and any of its terms) with or without prior notice for any reason.
10. By making the Submission Artist agrees to abide by these Terms and Conditions.
